This Non-Disclosure Agreement (the “Agreement”) is entered into between Organic Store (referred to as the “Disclosing Party”) and the undersigned party (referred to as the “Receiving Party”) for the purpose of protecting confidential information related to Jumbo Bags.
- Definition of Confidential Information: “Confidential Information” refers to any proprietary, confidential, or trade secret information disclosed by the Disclosing Party to the Receiving Party. This includes, but is not limited to, product designs, manufacturing processes, pricing information, customer lists, and any other information identified as confidential.
- Confidentiality Obligations: The Receiving Party agrees to maintain the confidentiality of the Disclosing Party’s Confidential Information and to use it solely for the purpose of evaluating or engaging in business discussions related to Jumbo Bags. The Receiving Party shall take all necessary precautions to prevent unauthorized disclosure, including but not limited to restricting access to Confidential Information and implementing appropriate security measures.
- Non-Disclosure and Non-Use: The Receiving Party shall not disclose or make any Confidential Information available to any third party without the prior written consent of the Disclosing Party, except as required by law. The Receiving Party shall not use the Confidential Information for any purpose other than the intended business discussions related to Jumbo Bags.
- Exclusions from Confidentiality: The obligations of confidentiality shall not apply to information that: a. Is or becomes publicly known through no fault of the Receiving Party; b. Was lawfully obtained by the Receiving Party from a third party without any obligation of confidentiality; c. Is independently developed by the Receiving Party without reference to the Disclosing Party’s Confidential Information; or d. Is required to be disclosed by law, regulation, or court order, provided that the Receiving Party gives prompt notice to the Disclosing Party to enable them to seek a protective order.
- Return or Destruction of Confidential Information: Upon written request by the Disclosing Party or upon termination of discussions or engagement related to Jumbo Bags, the Receiving Party shall promptly return or destroy all Confidential Information and any copies or extracts thereof.
- Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
- Entire Agreement: This Agreement constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes all prior discussions, negotiations, and agreements, whether written or oral.
